A best-in-class Mumbai developer at a full price: Gurugram shows the brand can travel, but ₹1,625 already pays for it

Oberoi Realty sells premium homes in Mumbai at some of the highest margins in Indian real estate and owns a ₹16,182 Cr portfolio of offices and malls that earns ~₹1,200 Cr a year in rent. H1 FY27 bookings jumped to ₹10,200 Cr (3.5x H1 FY26) on its first Gurugram launch, and the balance sheet is net-cash. At ₹1,625.20 the shares trade at 22.5x trailing earnings — in the bottom quartile of their five-year range (17x–51x, median 28.6x) — yet our probability-weighted sum-of-the-parts (SOTP) value today is ₹1,554, about 4% below the price. The market is already paying for ~10% more future sales than our base case. Probability-weighted 12-month value ₹1,753 (+7.9%; ~8.4% with dividends) — below the ~13% a stock this volatile should earn. HOLD.

Investment thesis

Core thesis in plain words

We initiate coverage on Oberoi Realty Ltd (ORL) with a HOLD rating and a probability-weighted 12-month target price of ₹1,753, 7.9% above the current ₹1,625.20 (8.4% including the dividend). That is below the template's 15% BUY bar and below the ~13% annual return we require from a stock whose measured beta is 1.2–1.4. A first draft of this report rated the stock BUY · ACCUMULATE at ₹1,869; the LLM Council review found that the draft valued rents before tax but homes after tax, gave no litigation haircut to Gurugram Phase 2 and had no true bear tail. Correcting those moved the call to HOLD (see the Council section).

The business is excellent. ORL builds large, amenity-rich townships on land it bought cheaply years ago (83 acres in Goregaon, 25 in Borivali, ~75 in Thane), sells homes at a 30–35% premium to the surrounding market, and keeps the offices, malls and hotels it builds on the same land. FY26 revenue was ₹6,009 Cr with a 55.9% EBITDA margin; PAT ₹2,507 Cr; ROE 14.9%. Rental income has compounded ~38% a year since FY22 to ₹1,190 Cr (19.8% of revenue) at ~92% EBITDA margins.

2026 was a step-change year. The first project outside Mumbai — Three Sixty North, Sector 58, Gurugram — sold ₹7,891 Cr of homes (614 units, 97% of the launched area, ~₹60,000 per sq ft of carpet) within days of its 29-Jun-2026 launch. H1 FY27 bookings were ₹10,200 Cr vs ₹2,938 Cr a year earlier. Under its accounting policy the Gurugram project books revenue only on completion (~FY30–31), so reported profit will lag the cash — FY27E–FY28E EPS growth is only ~9% and ~1% in our model.

The price is full, not cheap. A sum-of-the-parts (SOTP) valuation adds up the value of each business — homes still to be sold, the rental portfolio, hotels, cash — and divides by the share count. Ours is ₹1,554 per share today (probability-weighted; base case ₹1,529), ~4% below the market. That gap is inside the noise of our model (each 0.1 of beta moves value ~₹100), so the honest reading is no margin of safety, not overvalued. Working backwards (a reverse DCF), ₹1,625 already assumes either ~10% more pre-sales than our base path every year, or a 43.9% long-run pre-tax margin on new projects (we use 40%, and 45% for FY28–31 on legacy land), or a beta of ~1.01. The low trailing P/E (22.5x vs 28.6x five-year median) is partly an accounting effect — Gurugram profit is booked only on completion — and on other yardsticks the stock is not cheap: 3.1x book vs a residential-peer median of 2.7x, and ~9.4% return on equity once the rental portfolio is marked to fair value.

Why the stock fell 12% in a month despite record bookings. Q2 FY27 revenue and EPS missed consensus by ~6%; the RBI raised the repo rate on 7-Oct-2026 and the 10-year G-sec hit a three-year high (7.46%); the High Court extended its restraint on fresh Gurugram allotments; Adarsh Nagar slipped again; Jefferies and CLSA stayed at Hold. FIIs have cut their holding from 20.2% (Dec-24) to 15.3%. H1 FY27 bookings excluding Gurugram were ₹2,309 Cr, 21% below H1 FY26.

Pillar 1 · Pricing power and land cost

Company-reported residential margins of 51–61% each of the last five quarters (Q2 FY27: 60.9%) on legacy land; Gurugram Phase 1 97% sold (by area) at ~₹60,000/sq ft carpet; ready Goregaon homes sell 30–35% above market (CMD, Q3 FY26 call).

Pillar 2 · An annuity engine worth ~₹16,000 Cr

Investment property fair value ₹16,182 Cr (Mar-26, independent valuer) ≈ 27% of market cap. Q2 FY27 rent ₹338 Cr (+17% YoY), offices 98% occupied, Sky City Mall 83% → ~100% targeted by Q4 FY27. Ritz-Carlton Worli (Q1 FY28) and Marriott Borivali (end-CY27) next.

Pillar 3 · …but execution timing caps the upside

Launches have slipped one to three quarters on most projects in the last five calls (Adarsh Nagar now Q1 FY28). Gurugram Phase 2 (~₹7,500 Cr) is tied up with a High Court restraint on fresh allotments linked to a challenge to the project licence. Ex-Gurugram bookings fell 21% in H1. Rates are rising again (repo 5.50%).

Why we are below the Street (consensus ₹2,083–2,100)

Of 26 analysts tracked by INDmoney, 69% rate the stock Buy, 23% Hold and 8% Sell; mean target ₹2,100 (range ₹1,240–2,800). Our ₹1,753 is ~17% lower. Two choices explain almost all of the gap — and we show the Street's answer with our own model:

  • Discount rate (beta). We use beta 1.10 = 75% weight on the stock's own measured beta (average of 1.20 one-year daily and 1.25 two-year weekly after the standard ‘Blume’ adjustment toward 1.0) and 25% on Damodaran's India real-estate sector beta (0.755 at the sector’s 21% debt/equity; 0.657 with debt removed; 0.68 re-levered to ORL’s 4.5%). That gives a 13.3% cost of equity. At beta 0.9 our SOTP today rises to ₹1,756.
  • Tax on rents. We value the rental portfolio on rent after 25.17% corporate tax (₹11,992 Cr), consistent with how we value homes. The common broker shortcut — pre-tax rent ÷ cap rate, which matches the independent valuer's ₹16,182 Cr — adds ~₹98 a share. That higher figure is realisable only if the assets are sold or moved into a REIT.
  • Combined: beta 0.9 plus pre-tax rental value gives ₹1,854 today and ₹2,093 in 12 months — the consensus. The Street is not using different facts; it is using a lower hurdle rate and a pre-tax rental value.
  • Smaller items: unbuilt annuity assets (Ritz-Carlton, malls, hotel) at cost; a ₹1,427 Cr deduction because Bandra East sales carry a 45% revenue share to the railway authority; 40% margin on new land after FY31; Gurugram Phase 2 at ~70% probability in FY28 because of the litigation.

0.20 × ₹2,562 + 0.60 × ₹1,725 + 0.20 × ₹1,029 = ₹1,753 (12-month), i.e. +7.9% vs CMP. Fair value today: ₹1,554. Bull +58% vs bear -37% on 12-month values; on today's values the bear SOTP (₹915) is -44% below the price. In this scenario set roughly one outcome in five loses money over 12 months, and that loss is large. The upside is real if Gurugram repeats, but it needs both a lower hurdle rate and execution to arrive together.

Methodology: target = probability-weighted SOTP (residential cash-flow DCF + rental portfolio after tax at a cap rate + hotels + JV + net cash), rolled forward 12 months at the base cost of equity. P/E is shown only as a cross-check: Gurugram profit is booked only on completion (FY30–31), so near-term EPS understates value, and a 22x multiple is simply today’s multiple. Workings in Section 09.

Company overview, industry and macro

What Oberoi Realty does

Oberoi Realty Ltd (incorporated 1998, listed October 2010, headquartered in Goregaon, Mumbai) is the listed flagship of the Oberoi Realty group led by Chairman & MD Vikas Oberoi (58.55% personal holding; promoter group 67.70%). It is not related to the Oberoi hotels group (EIH Ltd). It has delivered 51 projects (~17.2 mn sq ft) and reports “37.2 mn sq ft in the making” (FY26 annual report). The model is a township developer that keeps the commercial core: homes are sold, while offices, malls and hotels on the same land are retained for rent.

For accounts the company reports only two segments — Real Estate (residential sales, leasing, property management) and Hospitality. The table splits the FY26 revenue note into its parts.

What the mix tells you

  • Residential is three-quarters of revenue and most of the volatility: it depends on launch timing and on percentage-of-completion accounting.
  • Leasing has grown from 12% (FY22) to ~20% of revenue at ~92% EBITDA margins, so it supplies roughly a third of operating profit and most of the stability.
  • Hospitality is small today (3%); the Ritz-Carlton Worli and a Marriott at Borivali are being added from FY28.

ICICI Securities estimates ~₹14,000 Cr of value in the 29 lakh sq ft unsold. Completed projects such as Exquisite and Esquire (Goregaon) and Splendor, Prisma and Maxima (JVLR) are excluded because they are fully sold and 100% recognised as revenue (Exquisite by FY22, Esquire by FY23 — annual reports).

Industry structure, competition and macro

Indian residential real estate is fragmented but consolidating toward listed, well-funded developers since RERA (2016) and the post-2019 NBFC crisis. MMR is the country’s largest market by value (~₹2.11 lakh Cr of sales in CY2025, Anarock) and ~32% of top-7-city volumes. ORL competes for the premium buyer with Lodha (Macrotech), Godrej Properties, DLF (entering Mumbai), Prestige, Sunteck, Piramal and Runwal, and in offices/malls with Phoenix Mills, K Raheja/Mindspace REIT and Brookfield. Its edge is integrated townships on owned land in the western and eastern suburbs, where few competitors hold large contiguous parcels.

FactorLatest data (Oct-2026)Direction and likely impact on ORL
RBI repo rate5.50% — hiked 25 bp on 7-Oct-2026 after cuts from 6.50% (Feb-25) to 5.25% (Dec-25); stance “calibrated tightening”; next meeting 2–4 Dec 2026Headwind
Home-loan rates linked to the repo (EBLR) reset up ~25 bp, raising EMIs for buyers of ORL’s ₹2.5–5 Cr Thane and Mulund homes, where loans are common. Its ₹10 Cr+ Goregaon, Worli and Gurugram buyers depend less on loans. Little effect on ORL’s own costs: net cash, and only ₹2,630 Cr of debt at 7.15–8.40%.
10-year G-sec yield7.46% (22-Oct-2026), a three-year high; CPI 5.54% (Sep-26, 22-month high)Headwind
The main channel to the share price. A higher risk-free rate raises the discount rate on cash that ORL receives years from now. In our model each +0.5 pp on WACC cuts value by ~₹67–76 a share (~4–5%). Higher inflation also lifts construction costs (management cited 2–3% from the West Asia conflict, absorbed so far by contingencies).
GDPQ1 FY27 growth 7.8%Supportive
Strong income and bonus growth among senior professionals and business owners sustains demand for premium homes and for Grade-A offices (Commerz). It also supports mall spending at Oberoi Mall and Sky City Mall, whose rents include a revenue share.
MMR housing sales (Anarock)CY2025 1.27 lakh units (−18%); Q3 2026 31,750 (+5% YoY); 9M 2026 flat YoYFlat
A flat market means ORL must grow by taking share through launches, not by riding the cycle. Its ex-Gurugram bookings fell 21% in H1 FY27, so the H2 FY27 launch list must arrive on time to hold sales. Each ±10% on our pre-sales path moves value by ~₹100 a share.
MMR unsold inventory1.98 lakh units (+12% YoY), 19 months to clear (17 a year ago)Watch
More unsold stock in the region limits how fast developers can raise prices and lengthens selling time for slower projects. ORL’s own unsold stock is 29 lakh sq ft. Forestville (Thane; 7.2 lakh sq ft unsold, 35% sold) is the most exposed. Goregaon and Borivali sell faster at premium prices.
MMR prices₹17,950/sq ft (+4% YoY); Goregaon ₹26–27k (+5%), Borivali ₹27.5–28.8k (+7%) (Knight Frank H1-26)Stable
Steady price growth in ORL’s main micro-markets supports realisations on the 29 lakh sq ft still to sell. Realisations at Elysian rose from ₹48,038 to ₹54,880/sq ft carpet in a year. Rising prices also protect margins as construction costs climb. Management has chosen volume over pushing prices (Q2 FY27 call).
Luxury mixHomes above ₹2.5 Cr fell to 14% of top-7 launches in Q3-26 (22% in Q2)Cooling
Fewer luxury launches mean less competing supply for ORL’s high-ticket projects (Adarsh Nagar ₹50–60 Cr, Tardeo ₹12.5–15 Cr, Pedder Road). But if this reflects weaker demand, upcoming luxury launches may sell more slowly than Gurugram Phase 1’s sell-out at launch.
Mumbai officesH1-26 absorption 7.3 mn sq ft (+33%); vacancy 15.6% (−205 bp); rent ~₹130/sq ft/monthSupportive
Strong leasing protects ORL’s 49 lakh sq ft Commerz portfolio, which is 98% let and earned ₹207 Cr in Q2 FY27, and supports rent increases at renewal. It also supports the office-led Bandra East (RLDA) and Worli I-Ven plans, which management partly intends to sell as strata offices.
Retail & hotelsTop-7 mall vacancy 11.15%; Mumbai hotel ARR −5–7% YoY in May-26 (HVS Anarock)Mixed
Low mall vacancy supports leasing Sky City Mall from 83% to the ~100% management targets by Q4 FY27 (~₹45 Cr more rent a year). Softer Mumbai hotel rates hit the Westin (occupancy 80% → 75% YoY; Q2 margin 40% → 36%). They also matter for the Ritz-Carlton Worli and the Borivali Marriott opening in FY28.
Gurugram / NCRQ3-26 NCR sales −17% YoY (Knight Frank); price growth slowing to 4% from 32%Cooling
Phase 1 is already sold (₹7,891 Cr), so the slowdown matters mainly for Phase 2 (~₹7,500 Cr, H2 FY28). A cooler market could mean slower sales or lower pricing than Phase 1’s ~₹60,000/sq ft carpet. That would add to the existing litigation risk; we already assume only 70% of Phase 2 sells in FY28.
Policy & infrastructureMaharashtra ready-reckoner rates unchanged for FY27; GST 5% (no ITC) on under-construction homes; Metro 2B/9 first phases opened Apr-26; GMLR (Goregaon–Mulund) due ~2028; Versova–Bandra sea link ~Dec-2028Supportive
An unchanged ready reckoner keeps stamp duty and registration costs flat for buyers. GST is unchanged, so margins see no new cost. The Goregaon–Mulund Link Road connects ORL’s two biggest clusters (Goregaon and Mulund) and should support prices at both. The Versova–Bandra sea link is the trigger for the larger sale phase of the Aram Nagar Versova redevelopment (17.18 lakh sq ft).

Economic moat analysis

Moat scorecard (analyst judgement)

Low-cost land in prime suburbs
Large contiguous parcels bought years ago (83 acres Goregaon, 25 Borivali, ~75 Thane); land is the main cost in Mumbai.
8.5/10
Brand and pricing power
Ready homes sell 30–35% above market; Gurugram Phase 1 97% sold (by area) at ~₹60,000/sq ft carpet in its first project outside Mumbai.
8.5/10
Annuity portfolio
₹16,182 Cr fair value, 98% office occupancy, ~92% EBITDA margins; funds land buying through cycles.
8.0/10
Balance sheet / cost of capital
Net cash at Sep-26; CARE AA+ (Stable); borrows at 7.15–8.40%.
8.5/10
Execution capacity
~18 towers of 60–65 floors under way; but repeated launch slippages and approval dependence.
6.0/10
Geographic diversification
Almost entirely MMR until 2026; one NCR project, now in litigation.
4.5/10
Verdict: a narrow-to-wide moat in Mumbai, untested elsewhere — overall 7.3/10The moat shows up in the numbers: residential margins above 50% every year since FY23 and ROE of ~15% while carrying a large, low-yielding land bank and ~₹6,000 Cr of investment property at cost. The weak spots are concentration and execution: profits depend on a few large launches whose timing management cannot fully control (approvals, courts). A moat in real estate is local; Gurugram is the first test of whether the brand earns the same premium outside MMR, and early evidence (sell-out at launch) is encouraging.

Strengths

  • Founder with 58.55% stake takes no salary — returns come only through dividends and share value, aligning him with minority holders.
  • Promoter holding unchanged at 67.70% for 12 quarters; nil pledge.
  • EY-network auditor with clean opinions and no emphasis of matter for five years; tax litigation dropped out of key audit matters from FY25.
  • Group simplified: three subsidiaries merged in 2024; two dormant entities struck off; guarantees to group entities fell from ₹2,819 Cr (FY23) to nil.
  • CARE AA+ (Stable); conservative leverage through the cycle.

What we flag

  • Promoter-linked lease: ~₹82 Cr a year of school rent (~7% of rental revenue) and a ₹69 Cr deposit from the Oberoi Foundation; terms are not market-tested in the disclosures.
  • Interest-free JV loans of ₹593 Cr, rising.
  • CSR under-spend: only 21% of the ₹42.9 Cr FY26 obligation spent; ₹58 Cr parked in unspent accounts.
  • Capital commitments ×17 to ₹5,564 Cr in FY26 without project-wise disclosure.
  • Potential dilution: ₹6,000 Cr QIP enabling approval (~10% of market cap) renewed at the June-2026 AGM.
  • Minor compliance: BSE fine ₹50,000 for late NCD-utilisation filing; Income-Tax writ against the 2023 settlement order still pending in Bombay High Court (amount not quantified).

Governance assessment: GOOD, with watch itemsBoard independence, audit quality, nil pledges and the promoter’s no-salary stance are above the Indian mid-cap norm. We do not apply a governance discount, but the promoter-linked school lease, interest-free JV loans, persistent CSR under-spend and the large undisclosed commitments are reasons to keep reading the related-party notes each year.

How to read the balance sheet

  • Inventory ₹11,801 Cr (Sep-26) is land and construction for homes, recorded at cost; much of it is already sold but not yet recognised as revenue.
  • Other liabilities jumped to ₹6,198 Cr (Mar-26: ₹4,068 Cr excluding payables). The CFO attributes this line mainly to "billing in excess of revenue" — cash and invoices from buyers ahead of revenue recognition.

Source: Screener.in cash-flow statement and schedules (matches annual reports: FY26 CFO ₹1,379.9 Cr, CFI ₹(463.1) Cr, CFF ₹(1,008.8) Cr). Land and development-right payments run through operating cash flow (working capital) in the reported accounts — FY23’s ₹(2,383) Cr CFO reflects the ₹3,405 Cr purchase of Three Sixty West flats from the JV. Estimates are on the same reported basis (land payments inside CFO) and are anchored to H1 FY27 actuals: all-segment collections ₹3,596 Cr, operating surplus ₹2,570 Cr, ₹1,152 Cr paid for upcoming projects, ₹698 Cr capex. FY27E assumes ₹1,800 Cr of land/JDA payments and ₹1,300 Cr capex; CFO/PAT of 81–87% vs a 52% five-year average reflects Gurugram collections arriving years before its revenue.

Earnings quality: cash lags profit, by designOver FY22–FY26 cumulative CFO was ₹5,045 Cr against cumulative PAT of ₹9,612 Cr (52%), because ORL kept buying land and building inventory and annuity assets. FY26 CFO fell to 55% of PAT (₹737 Cr inventory build, ₹1,160 Cr rise in contract assets/advances). This is normal for a growing developer, but it means reported EPS overstates distributable cash. H1 FY27 turned the corner: all-segment collections ₹3,596 Cr, and Q2 alone produced a net cash surplus of ₹906 Cr after land payments, capex, interest, tax and dividends.

Analyst estimates; opening = Mar-26 cash, bank and liquid MF per FY26 annual report (₹3,014 Cr). Not in the bridge: (1) ₹5,564 Cr of capital commitments disclosed at Mar-26 — mostly construction and land obligations that we assume are paid over several years inside the land and capex lines; (2) the Bandra East (RLDA) revenue share, ₹4,905 Cr in present value, which is paid out of that project’s own sales to 2038 (we deduct only the ₹247.5 Cr upfront instalment still due); (3) the ₹6,000 Cr QIP approval, which we do not assume is used.

Read-acrossOn our assumptions the existing pipeline is self-funding: liquid funds stay around ₹3,000–4,700 Cr. A QIP would therefore be a choice to buy more land (for example in NCR) rather than a necessity. If it is priced below fair value it destroys value for existing holders; at or above fair value it is roughly neutral. Watch the pricing if it happens.

Residential is 72% of NAV; the terminal value is 51% of the residential DCF (below the 80% danger level in Damodaran’s checklist). Not separately valued (upside): Bandra East railway land, Hotel Horizon, Aram Nagar Versova, Alibaug and Thane commercial — their sales appear only inside the pre-sales path. Not deducted / not added (they partly offset): cash still due on units sold before FY27, construction cost already sunk in inventory, and the ₹5,564 Cr of commitments, which are the cost side of the pipeline already reflected in the 40% margin. Gurugram Phase 1’s ₹7,891 Cr is inside the ‘already sold’ line at a 50% margin; the land was cheap (up to ₹597 Cr plus area to existing homeowners) but total project investment is reported at ₹4,000–6,000 Cr, so we do not assume more.

Discount factor = 1 / (1 + WACC)^(mid-period + 2-year collection lag). Cash profit uses a 45% pre-tax margin for FY28–FY31 and 40% for other years. Pre-sales path is our assumption: H1 FY27 actual ₹10,200 Cr + H2 ₹3,300 Cr = ₹13,500 Cr for FY27; FY28 includes ~70% of Gurugram Phase 2 (~₹7,500 Cr GDV); growth of ~7–8% a year from FY30 (price ~5% + volume). Management gives no numeric guidance.

Sources: Screener.in (prices, P/E, P/B, RoE, RoCE, FY26 P&L), company presentations and news for pre-sales and net debt (dates vary Mar-26 to Sep-26). EBITDA = Screener operating profit (ex other income); it is not meaningful for DLF, Godrej and Sobha because joint-venture structures and accounting push profit below EBITDA. Oberoi P/E and P/B use TTM EPS ₹72.36 and Sep-26 BVPS ₹525; EV/EBITDA on TTM EBITDA ₹3,560 Cr. Phoenix Mills is an annuity (mall) comparator, excluded from the residential median.

What the peers tell usOberoi has the highest RoCE (17.3%), the strongest EBITDA margin among developers and net cash. It looks cheap only on P/E (22.5x vs a residential-peer median of 29.2x), and P/E is distorted by different revenue-recognition methods. On other yardsticks it is not cheap: P/B 3.10x vs a median of 2.70x; EV/EBITDA ~16.5x vs ~14x for Brigade and Sunteck; and market cap is ~10.8x FY26 pre-sales vs 8.2x for DLF and 4.9x for Lodha (falling to ~4.4x on our FY27E ₹13,500 Cr). The market already prices ORL as a premium franchise; Gurugram repeating is what would justify more.

Score 4 of 7 tests. Classification: quality compounder at a full price — strong finances and growth, but the price fails Graham’s value tests, as it does for almost every Indian developer. Graham’s formulas ignore the land bank and the annuity portfolio, so we treat them as a floor, not a value.

Valuation conclusionFair value today (probability-weighted SOTP) ₹1,554; base case ₹1,529, range ₹915–₹2,268. Probability-weighted 12-month target ₹1,753 (+7.9%; 8.4% total return including the 0.49% dividend yield) — inside the template’s 0–15% band, hence HOLD. The P/E cross-check (22x FY28E = ₹1,662) is close but understates value because Gurugram profit is not in FY28 earnings. The call is within model noise of both alternatives — owning a Nifty fund or accumulating — so it should change with facts: BUY at or below ~₹1,532, or if the Gurugram restraint is lifted and H2 FY27 launches arrive on time; SELL/REDUCE above ~₹1,800 (no expected return left) or on an adverse licence ruling.

Reading the StreetThe post-results pattern is clear: most brokers raised or held targets on the Gurugram bookings, while Jefferies and CLSA stayed at Hold citing launch slippage and valuation. Nobody we found is negative on the business; the debate is about timing and how much to pay for a pipeline that keeps arriving a quarter or two late.

What the last four quarters say
  • Bookings are lumpy and launch-driven. Ex-Gurugram, quarterly sales ran ₹836–1,673 Cr; one large launch can add 5–6x a normal quarter.
  • Revenue lags bookings. Q2 FY27 revenue fell 6% YoY even as bookings rose 7x, because Gurugram books revenue on completion and Thane projects are early in construction (billed 45–50%, recognised 11–12%).
  • Margins held up: EBITDA margin 53–61%; Q2 FY27 residential margin 60.9% (mix).
  • Annuity is the steady part: rent ₹290 → ₹338 Cr a quarter in a year (+17%).

#RiskCategoryProbabilityImpactDescription & mitigant
R1Launch and approval delaysExecutionHighMediumFive consecutive calls show slippage (Adarsh Nagar: Q1 → Q3 FY27 → Q1 FY28; Ritz-Carlton FY26 → Q1 FY28). Each quarter of delay defers cash at a 13% cost of capital. Mitigant: large approved inventory (29 lakh sq ft unsold) keeps sustenance sales going.
R2Gurugram licence litigationLegalMediumHighAIPL’s complaint seeks cancellation of the project licence, arising from its dispute with IREO (the previous developer). The High Court barred fresh allotments on 7-Jul-2026; DTCP rejected the complaint on 13-Aug; the court extended its interim direction to the 25-Sep hearing, with no public outcome found by 22-Oct. Phase 1 sales and construction are not restrained (company). In our base model Gurugram is worth ~₹84 a share (Phase 1 ~₹60, Phase 2 ~₹24); the bear case removes Phase 2 and half of Phase 1’s profit. A worst case that voided allotments would also bring refunds.
R3Interest-rate upcycleMacroMediumMediumRepo raised to 5.50% (7-Oct-2026); G-sec 7.46%; CPI 5.5%. Raises mortgage EMIs and our discount rate. Premium buyers are less mortgage-dependent; ORL is net cash.
R4MMR demand / inventory overhangMarketMediumHighMMR unsold stock +12% YoY to 19 months; luxury share of launches falling; 9M-2026 MMR sales flat. Mitigant: ORL prices townships for end-users and sells ready homes at premiums.
R5Capital allocation and dilutionFinancialMediumMediumCapital commitments ₹5,564 Cr (FY26, projects not named), RLDA ₹5,400 Cr NPV (₹495 Cr upfront + 45% revenue share to 2038), I-Ven and Thane annuity capex, and a ₹6,000 Cr QIP approval (~10% dilution if fully used; value-destructive only if priced below fair value). Our funding bridge suggests the current pipeline is self-funding.
R6ConcentrationBusinessMediumMediumA handful of projects in one city drive most profit; Q2 FY27 bookings were 86% one project.

Environmental

Large, efficient townships near metro lines are inherently lower-carbon per resident, and 88% of the portfolio is green-certified. The weak spot is grid dependence: renewable energy fell from 14% (FY24) to 8.7% (FY26) as new malls and offices came on line. Watch for on-site solar or green power purchase agreements.

Social

Safety on construction sites is the material issue: one contract-worker fatality in FY26. CSR is the clearest gap — only ~21% of the statutory amount spent in FY25 and FY26, with ₹58 Cr parked in unspent accounts, which by law must be spent within three years.

Governance

Above the mid-cap norm on independence, audit and pledges; dividends of ₹8/share for three years (12% payout). Related-party items are disclosed and small relative to the business but persistent. Auditor rotation in 2027 is a useful reset.

Should you invest? Investor action plan

For new money: HOLD — wait rather than buy at ₹1,625
  • Expected 12-month return ~8.4% before tax (target ₹1,753 + dividend). On the same pre-tax basis a Nifty 50 index fund is expected to return ~12.6% a year (Damodaran: 5.71% + 6.92%) — more, with far less single-stock risk. Both are taxed the same way (20% if sold within 12 months; 12.5% after, with the first ₹1.25 lakh of gains each year exempt).
  • Fair value today ₹1,554; bear-case value today ₹915 (-44%). In our scenario set about one outcome in five loses money over 12 months, and that loss is large.
  • Owning Oberoi beats the index only if you believe something the price does not yet reflect — mainly that Gurugram repeats on time and rates ease.
  • Before adding any real-estate stock, count your existing property exposure (homes owned or being bought, REITs, other developers): it is the same cycle.
  • Existing holders: hold; consider trimming above ~₹1,800, where our expected 12-month return is about zero. ₹2,000+ is the Street’s target, not ours.
Review or exit triggers (decide these now, not later)
  • An adverse High Court order on the Gurugram licence → cut the position by at least half and re-underwrite.
  • Two consecutive quarters of pre-sales below ₹1,000 Cr excluding Gurugram.
  • A QIP priced below our fair value (~₹1,554) → reassess; at or above fair value it is roughly neutral.
  • A close below ₹1,300 with no change in the facts → re-underwrite; do not average down automatically.
  • Price above ~₹1,800 without new facts → take profits on part of the position.
If and when to buy — rules, not hope
  • No position at ₹1,625. Set price alerts instead; keep the cash in a liquid or index fund meanwhile.
  • Size: cap the whole position at 3–5% of your equity portfolio and size it for a 40% fall. An adverse court order would gap the stock down at the open — limit orders do not protect against that, which is why the cap matters.
  • First third: at or below ~₹1,532 (our BUY zone, ≥15% expected 12-month return), or on evidence: the High Court lifts the restraint on Gurugram allotments; the Q3 FY27 results (expected mid/late January 2027; last year’s call was 20-Jan) show the ~₹800 Cr Gurugram instalment collected; two or more H2 FY27 launches open.
  • Second third: at or below ~₹1,450 (our SOTP at the stock’s measured 1-year beta of 1.20 is ₹1,442).
  • Last third: only after a full year of on-time launches and collections — or at ~₹1,300, near our value at the 2-year beta of 1.37.
  • Use limit orders valid for one quarter and re-set them after each results release.
Check these yourself before investing
  • The status of the Punjab & Haryana High Court restraint after the 25-Sep-2026 hearing — we searched court-reporting sites and filing summaries and found no public order; watch NSE/BSE announcements and the Q2 FY27 call transcript once the company publishes it (only audio was available on 22-Oct).
  • Why the Gurugram figures differ: ₹8,109 Cr / 832 units (5-Jul disclosure, 832 = units launched) vs ₹7,891 Cr / 614 units booked (Q2 presentation). Part of the area belongs to earlier IREO buyers, which may explain the gap — the company has not said.

LLM Council review — completeness check and “should I invest?”

Method (Karpathy-style LLM Council): five independent advisor agents — Contrarian, First-Principles Thinker, Expansionist, Outsider, Executor — each read the full report and answered (A) “is the research complete and accurate?” and (B) “should he invest at ₹1,625?”. Their answers were anonymised and peer-reviewed by five further agents; the orchestrator (Opus) acted as chairman. Because round 1 found material gaps, the research was redone and the full process was repeated on the revised report.

How the report changed through the council

RoundDraft / version reviewedCouncil findingWhat changed
Round 1Draft: BUY · ACCUMULATE, 12M TP ₹1,869 (+15.0%), fair value ₹1,6554 of 5 advisors: not a buy at ₹1,625. The BUY was a rounding artefact (TP = value rolled at the cost of equity); beta 1.10 unexplained; rents valued before tax but homes after tax; forecast free cash flow excluded land payments; bear case not a true tail; Gurugram court outcome not searched; several wording errors.Rents now after tax; beta method shown; land inside cash flow; Gurugram Phase 2 litigation haircut; court status searched; reverse DCF, funding bridge, weight sensitivity and an action plan added → HOLD
Round 2Revision 1: HOLD, 12M TP ₹1,745, fair value ₹1,544Most round-1 items fixed; arithmetic reconciles. Remaining: Bandra East’s 45% revenue share sat inside a generic 40% margin; three different “fair value” figures; bear case left Gurugram Phase 1 untouched; P/E cross-check circular; starter tranche contradicted the HOLD; trim level set at the Street’s target.Bandra East margin adjustment (−₹1,427 Cr); 45% margin FY28–31 on legacy land; one fair-value definition; licence-loss bear tail; target = probability-weighted SOTP only; action plan rewritten → HOLD, ₹1,753

Where the council agrees

  • Do not buy a full position at ₹1,625. Eight of the ten advisor answers across two rounds said so (all but the Expansionist, both times); the expected return (~8%) is below both the ~13% hurdle and a Nifty index fund’s expected ~12.6%.
  • The business is high quality (17% RoCE, net cash, 50%+ residential margins, ₹16,000 Cr rental portfolio) — the issue is price, not franchise.
  • The Gurugram licence litigation is the key binary risk; its outcome after the 25-Sep hearing is not public and should be checked before any purchase.
  • Any exposure should be small (3–5% of the equity portfolio), staged, and sized for a ~40% fall.

Where the council clashes

  • Expansionist vs the rest: the Expansionist argued the model is too cautious (margins of 46–50% on legacy land, beta nearer the sector’s 0.68–0.9, unvalued Bandra East / Versova / Alibaug land) and would buy half now. The others replied that those are exactly the assumptions the price already pays for (our reverse DCF) and that buying before the court outcome is a bet, not an investment.
  • Hurdle rate: the First-Principles thinker and Contrarian accept 13%; the Expansionist would use ~11–12%. Reasonable people differ; at beta 0.9 and pre-tax rental value our own model reproduces the Street’s ~₹2,100.
  • HOLD vs AVOID: two advisors felt HOLD is too soft for new money. We keep HOLD (the template’s 0–15% band) but the action plan says plainly: no position at ₹1,625.

Blind spots the council caught (now fixed)

  • The rental portfolio was valued before tax while homes were valued after tax (Contrarian) — fixing it cut ~₹100 a share.
  • The 25-Sep court hearing had already happened; it needed to be searched, not treated as a future event (peer reviewers).
  • Bandra East’s 45% revenue share cannot sit inside a generic 40% margin (First Principles, round 2).
  • The investor’s own context: existing property exposure, after-tax comparison with an index fund, probability of loss, and dated triggers (peer reviewers, both rounds).

The recommendation

HOLD. Fair value today ₹1,554; 12-month target ₹1,753 (+7.9%, ~8.4% with dividends). For new money: do not buy at ₹1,625. Buy the first third at or below ~₹1,532 or on hard evidence (court restraint lifted, Q3 Gurugram instalment collected, H2 launches on time); the second at ~₹1,450; the last only after a year of on-time delivery or near ₹1,300. Existing holders: hold, trim above ~₹1,800.

The one thing to do first

Check the Gurugram court status. Look up Oberoi Realty’s NSE/BSE announcements since 25-Sep-2026 (or ask investor relations at ir@oberoirealty.com) for the High Court order on the AIPL licence complaint, and set price alerts at ₹1,532 and ₹1,450 the same day.
